Terms of Service

1. Agreement

These Terms of Service (the "Terms") form a binding agreement between you and Temporalis LLC ("Temporalis", "we", "us"), a limited liability company based in Sheridan, Wyoming, United States, which operates the Napu AI service ("Napu AI"). By creating an account, generating an API token, or sending an inference request to our API, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

2. The service

Napu AI provides serverless AI inference through an OpenAI-compatible HTTP API. We host open-weight chat and embedding models on dedicated hardware and bill per token. Available models, pricing, and quantization levels are listed on the site and may change over time.

3. Account and eligibility

You must be at least 16 years old to create an account. You are responsible for everything that happens under your account, including all use of API tokens you generate. Keep your tokens secret. If you believe a token has been compromised, revoke it from the Tokens page and generate a new one.

4. Acceptable use

You agree not to use the service to:

  • Generate or distribute child sexual abuse material, non-consensual intimate imagery, or other content unlawful in your jurisdiction or ours.
  • Generate content intended to defraud, deceive, harass, or impersonate another person.
  • Generate targeted disinformation, election manipulation content, or instructions for synthesising weapons capable of mass harm.
  • Attempt to reverse-engineer, jailbreak, or systematically extract weights from the hosted models.
  • Resell raw API access in a way that hides Napu AI as the underlying provider, except through gateways and aggregators where we are explicitly listed (for example, OpenRouter).
  • Probe, attack, or overload our infrastructure, evade rate limits, or use credentials you do not own.
  • Process personal or regulated data (PHI, payment card data, etc.) in a way that violates the law applicable to that data.

We may suspend or terminate accounts that breach this section, with or without notice depending on severity.

5. Credits and billing

  • Napu AI is a paid subscription service, billed monthly or annually through Stripe. Each plan includes a monthly credit allowance that resets at the start of every billing cycle. There is no free credit allowance.
  • New subscriptions may start with a 14-day free trial. We collect a payment method at signup and charge it automatically when the trial ends, unless you cancel before then. We send a reminder email at least 7 days before the first charge, and you can cancel online at any time from your account, including during the trial.
  • Each inference call deducts credits at the per-token rate listed for the chosen model. Embeddings and chat are priced separately.
  • If your balance reaches zero, paid endpoints return HTTP 402 until your monthly credits reset or you upgrade your plan.
  • We reserve the right to change our prices, plans, and credit allowances at any time. We will publish any changes on the site before they take effect, and price changes apply from your next billing cycle.
  • Credits are non-transferable and have no cash value. Monthly plan credits expire at the end of each billing cycle and do not roll over.
  • All amounts are in US dollars unless stated otherwise. You are responsible for any taxes that apply in your jurisdiction.

6. Refunds

Subscriptions are billed monthly in advance and are generally non-refundable, since credits are consumed on demand and we incur compute cost on each call. You can cancel anytime to stop future renewals. We will issue a refund for a documented service incident on our side, or where required by consumer-protection law in your jurisdiction.

7. x402 pay-per-request

Some endpoints accept payment via the x402 HTTP payment protocol, settled in USDC on the Base network. x402 payments are verified on-chain by an external facilitator. Once a payment is confirmed and the corresponding API call is processed, the payment is final. We do not control the blockchain and cannot reverse confirmed transactions.

8. Your inputs and outputs

You retain all rights in the prompts and other inputs you send to the API. As between you and us, you also own the model outputs we return for your requests, subject to (a) any rights in the underlying open-weight model and its license, (b) any third-party rights in material your prompt is derived from, and (c) these Terms.

We do not use your inputs or outputs to train or fine-tune any model. See our Privacy Policy for the full data handling description.

We rely on third-party providers to operate the service, including cloud hosting and managed databases (DigitalOcean), payment processing (Stripe), and product analytics (PostHog). Your data is processed in the United States. The current list of subprocessors and where your data is processed is kept in our Privacy Policy.

Model outputs may be inaccurate, incomplete, or offensive. You are responsible for reviewing outputs before relying on them, especially in any consequential setting (medical, legal, financial, safety).

9. Service availability

We aim for high availability but we do not currently offer a contractual SLA. The service is provided on an "as is" and "as available" basis. We may project maintenance, change models, or retire models with reasonable notice. For dedicated capacity or guaranteed throughput, contact us.

10. Suspension and termination

You can stop using the service and delete your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or expose us or other users to legal or security risk. On termination, unused credits are forfeited unless required to be refunded by law.

11. Disclaimers

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs will be accurate, that the service will be uninterrupted, or that defects will be corrected.

Data shown in the app, including prices, listings, market estimates, discounts, and other figures, is extracted from third-party public sources and may be inaccurate, incomplete, out of date, or unavailable. We do not independently verify it and we are not responsible for its accuracy. Market estimates, fair-value figures, discounts, and deal scores are additionally generated by automated statistical models: they are estimates, not appraisals, valuations, or advice of any kind, and they can be materially wrong for any individual listing. Alerts and notifications are provided on a best-effort basis: we do not guarantee that any alert will be generated, delivered, or delivered in time for you to act, and we are not responsible for deals, prices, or listings that change or expire before you see them. You are solely responsible for verifying any information before relying on it or making a purchase, sale, or other decision.

12. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service is limited to the greater of (a) the amount you paid us in the three months before the event giving rise to the claim, or (b) one hundred US dollars. We are not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost data, or loss of goodwill.

13. Indemnification

You agree to indemnify and hold harmless Temporalis LLC and its personnel from any third-party claim arising out of your use of the service in violation of these Terms or applicable law, including any claim related to content you submit or distribute.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute, except where consumer-protection law in your jurisdiction provides otherwise.

15. Changes

We may update these Terms as the service evolves. Material changes will be posted here with a new "Last updated" date and, for significant changes, communicated by email to active users. Continued use after a change constitutes acceptance.
